These Terms of Use govern the use of the Ordenda app for iPhone and iPad. The German version is authoritative.

Licence agreement

The licence for the app obtained through the App Store is governed by Apple’s Standard Licensed Application End User License Agreement (EULA). Ordenda does not use a custom EULA. The following terms supplement the Apple EULA with product-specific rules and do not replace it. In case of conflict, the Apple EULA prevails insofar as it concerns the licence to the app.

Availability

Ordenda is intended to be available in the countries and regions Apple offers for distribution, with a focus on Germany, Austria and Switzerland. Actual availability depends on the respective App Store approval.

Purpose of the app

Ordenda is a productivity app for managing workspaces, Areas, projects, tasks, notes and reminders. It brings your personal work context together in a structured way.

Local use

The local features can be used without an account. Your content is then stored exclusively on the respective device. You are responsible for protecting the device and for backing up your local content.

Account

• An account is required for cloud synchronisation. The information provided when registering must be accurate.
• An account is personal. Sign-in details and unlocked devices must be protected against unauthorised access.
• You can delete your account at any time in the app under Settings. The consequences for your content are described in the Privacy Policy.

Ordenda Pro

With Ordenda Pro, you can synchronise your content between your devices via an account and keep a copy in the cloud. The local features remain usable without a subscription.

• Ordenda Pro is offered as a monthly or annual subscription exclusively through Apple In-App Purchase. Price, scope and term are shown in the app before purchase.
• The subscription renews automatically for the selected term unless it is cancelled in the Apple Account settings at least 24 hours before the end of the current period. Cancellation takes effect at the end of the paid period.
• Apple’s terms apply to purchase, billing, renewal, cancellation and refunds.
• If the subscription ends, synchronisation stops. Your local content remains usable.
• Deleting the app or the account does not cancel an active subscription.

Content

You retain the rights to the content you create, such as projects, tasks, notes and attachments. For synchronisation, you grant Xvision Solutions the non-exclusive right, limited to the duration of use, to store and transmit this content and to make it available on your devices.

You are responsible for the content you enter in or import into Ordenda. It must not be unlawful or infringe the rights of third parties.

Permitted use

In particular, the following is not permitted:

• circumventing access, security or subscription mechanisms or attempting to access other users’ data
• automated or excessive use that impairs operation
• storing or distributing malware or unlawful content via synchronisation

Availability of the service

Synchronisation depends on an internet connection and on third-party services. We strive for reliable operation but cannot guarantee uninterrupted or error-free availability. Maintenance, security measures, technical faults or changes to third-party services may temporarily restrict features. The cloud copy does not replace your own backup of important content.

Liability

To the extent permitted by law, the liability of Xvision Solutions for slight negligence, indirect damage, consequential damage and loss of data is excluded. Liability for intent and gross negligence, for injury to life, body or health and under mandatory statutory provisions, in particular mandatory consumer protection law, remains unaffected. Where mandatory law provides for liability for a slightly negligent breach of essential contractual obligations, such liability is limited to the foreseeable damage typical for the contract.

Changes to the app and these terms

Ordenda is being developed further; features may change, be added or be removed. These terms may be updated if features, legal requirements or security requirements change. We will inform you of material changes in an appropriate manner, for example in the app. Changes to the price or scope of an active subscription are made in accordance with Apple’s rules.

Termination

You can end your use at any time by deleting the app or your account. In the event of serious or repeated breaches of these terms, we may restrict or terminate access to synchronisation to the extent necessary.

Privacy

Information on the processing of personal data is provided in the Privacy Policy, available in the app and on ordenda.app.

Governing law and place of jurisdiction

Swiss law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods. To the extent permitted by law, the place of jurisdiction is the place of business of Xvision Solutions. Mandatory provisions protecting consumers, in particular regarding their place of jurisdiction and the law applicable in their country of residence, remain reserved.
